Abstract
虽然学界对企业是否承担社会责任有很大的争议，但企业在现实中已经承担起 责任已是不变的事实。这是经济发展的必然产物，也是社会发展的必然要求。企业承担社会责任包 括法律上的责任和道德上的责任。本文通过外部性理论和科斯定理对企业承担社会责任的原因做了 合理的解释。要使企业能够承担起社会责任，必然要求强有力的制度来支持，而法律承担起来了十 分重要的作用。用经济学分析，立法者制定的能够最接近于最优解的立法才是最优的法律。各个国 家都通过法律制定了相关的企业社会责任方面的立法，这些立法对企业和社会的发展都有重大的意 义。 AA's abstract: [Essay published in the context of the fourth CSR paper Competition, organized by the Center of International Business Ethics CIBE, Bejing, China, in 2010.]
