Abstract
The notion of corporate governance was attracted as that of control over management of a corporation by stockholders in the 1990s because most of the individual stockholders demanded some reforms of the stock exchange system, which was vital to affect the market situation. The reform oriented criticism against the established system claimed to introduce the American type of corporate governance in Japan, (1)which were also debated between the governments as a problem of structural adjustment of socio-economic reforms during the 1980s. Despite such a political climate ,however, it was not easy to reach a concrete goal on system of corporation and its governance .
